Section 05 / the people
Four operators, one industry, one deal network.
The platform is less a company than a circuit: men who built and sold pest-control businesses, now selling services, software and exits to the people still running them. Each one monetises a different stage of the same owner's life.
01 · The principals verified
Who is actually in the room
Four names appear repeatedly across Pest Daily, FRAXN, AXN and the podcast circuit. Each row is sourced; the last column is the fact that matters most.
| Person | Base | Runs now | The fact that matters |
|---|---|---|---|
| Seth Garber | Tampa, FL | Pest Daily (founder, CEO) · FRAXN co-founder · board member, ACTION Termite | Five Florida entities since 2017 and a board seat on the PE platform that buys pest companies |
| Patrick Baldwin | Waco, TX | FRAXN (CEO) · Right Pest co-owner · The Boardroom Buzz co-host | Sold 855Bugs to Terminix in August 2021 — and filmed the closing for the podcast |
| Brent Agee | Phoenix, AZ | AXN Growth Partners (CEO) | Eleven acquisitions in just over two years; started as a technician in his father's company |
| Paul Giannamore | n/a | The Potomac Company (managing director) | Advised the 855Bugs sale, co-hosts the podcast Pest Daily distributes, and appears in its contributor list |
02 · The Terminix thread
How one exit became four businesses
The dates below are the spine of this whole dossier. Baldwin's sale is the event the rest of the network was built around.
-
2016
PestWorks verified
Baldwin launches a pest-operations app and promotes it as a software founder would. The domain no longer resolves; the "software director" line in his bio dates from this period.
-
2019
855Bugs named a PCT Rising Star verified
The Waco company is in the inaugural Rising Star class, alongside A-1 Pest Control and Accel Pest & Termite — the industry press anointing a company that is about to be sold.
-
2020
The Boardroom Buzz launches verified
May 2020: Potomac launches a podcast co-hosted by its managing director and his client — Baldwin, described at the time as "a long-term client of Potomac." Content and deal flow from day one.
-
2021
Terminix acquires 855Bugs verified
Announced 27 August 2021 with Potomac as exclusive financial advisor. Terminix's CEO flew to Waco; the closing week was filmed and released as Season 2, episode 59 under the codename "Project BlackBear." Price never disclosed.
-
2022
FRAXN is founded verified
Baldwin, now an exited operator, starts a bookkeeping firm for the trades with Garber — the "eleven years in your seat" pitch is his biography sold as a service.
-
2023
Two threads converge verified
June: FRAXN runs a "Moneyball" webinar series with Garber and its own CPA. December: Shore Capital partners with ACTION Termite, creating the AXN platform Garber later joins as a board member.
-
2024–26
Eleven acquisitions, an Inc. 5000 place verified
AXN completes 11 acquisitions in Arizona and lands at No. 991 on the 2026 Inc. 5000. Pest Daily carries Boardroom Buzz episodes in its own catalogue, putting the M&A conversation in front of its members.
03 · What each one monetises inference
Four slices of one owner's lifecycle
Garber sells the operator's education and sits on the buyer's board. Baldwin sells the operator's bookkeeping, having sold his own company. Agee buys the operator's business. Giannamore brokers the sale — and co-hosts the show that establishes the valuation vocabulary everyone uses.
That is a coherent division of labour rather than a coincidence: each man holds a different piece of the same transaction, and the audience is the supply of both customers and sellers.
"As the partner of Texas-based pest control company and a long-term client of Potomac, Patrick Baldwin has boardroom-level conversations with Potomac's managing director."
Why this is worth naming. The podcast that teaches owners about valuation is produced by the firm that earns fees on those valuations, distributed by a platform whose founder sits on a buyer's board, and co-hosted by a man who sells bookkeeping to the same owners. Every element is legal and common in this industry — and a buyer of any of these services should know who is on which side of the table.
04 · Agee, separately
The one who is actually buying
Brent Agee's story is the clearest of the four and the least ambiguous: technician, then sales, then his own pest business, then merged into his parents' ACTION Termite. When private equity first called, he said no. What changed his mind, in his telling, was rolling equity at the same share price as the investor.
He now runs a platform that has completed 11 acquisitions in Arizona, reports 15–20%+ revenue growth in the twelve months after each close, and is expanding into Texas. His published criterion is cultural fit with founder-operators who want to stay.
Read the expansion map against the other three. AXN is moving into Texas — where Baldwin's network, FRAXN's 250 clients and Pest Daily's owner audience all sit. The education platform, the bookkeeping firm and the acquirer are pointed at the same geography.
05 · Gaps
What the record will not tell you
What Baldwin actually cleared on the Terminix sale
Never disclosed. 855Bugs was a private Texas LLC and Terminix did not break out deal size. No filing exists to check. Any number quoted elsewhere is speculation.
Ownership percentages across FRAXN, Pest Daily and AXN
FRAXN, LLC does not appear in the Texas franchise-tax registry under that name, which suggests formation in Delaware or Wyoming — not visible without a paid search. AXN's cap table is Shore's business. Pest Daily LLC is 100% Garber as far as the Florida record shows, with no investor members listed.
Aggregator-sourced career details
Third-party contact databases list Baldwin with prior roles at GGA Pest Management and Citizens Reverse Mortgage. Neither is confirmed by a primary source, so neither is asserted here. Crunchbase is the source for his co-ownership of Right Pest and the 2020–2024 podcast dates; Crunchbase itself blocks direct verification.
Litigation and regulatory history
No docket search was run for any of the four. Nothing reviewed suggests a dispute; that is not the same as confirming there is none. This is the largest open gap in the dossier.
